Unless other payment arrangements have been made, all services will be purchased via Shopify payments in advance of services provided.
The relationship created by this agreement is that of Independent Contractor to the Client. Nothing in this agreement shall be construed to be inconsistent with this relationship. Shopsuie is free to offer similar services to other Companies and to otherwise practice their trade or profession for such other companies during the term of this agreement without limitation.
Under no circumstances is Shopsuie to be considered an employee of the Client for any purpose, and is not entitled to any of the benefits provided by the Client to its own employees.
At all times, Shopsuie shall have sole control of the manner and means of performing the services required by this agreement and shall complete it according to Shopsuie's own means and methods of work and independent judgment, as well as the hours of work and the time deemed necessary to carry out the work, the location where the work will be carried out, and the sequence in which the work is performed.
Shopsuie is solely responsible to pay all applicable federal, state, and local income and withholding tax obligations or contributions imposed by Social Security, unemployment insurance, or workers' compensation insurance in connection on all moneys earned pursuant to this contractual relationship. Shopsuie is not entitled to workers’ compensation or unemployment benefits.
Shopsuie will at all times maintain a separate and distinct business operation from the Client's operation. Shopsuie may employ assistants or other employees. Shopsuie is responsible for all of its employee’s compensation, insurance, workers compensation coverage and with holdings under Federal and State law.
Both Shopsuie and the Client may sever this contract at any time by written or verbal agreement. Upon severance of contract, any outstanding invoiced work will be considered due.
Without the prior written consent of the Client, which consent can be withheld for any reason, Shopsuie shall not assign their rights or delegate their duties hereunder and any purported assignment or delegation shall be void. Subject to the foregoing, this Agreement shall inure to the benefit of, and be binding upon, the successors and assigns of the parties.
